This role will focus on supporting reinsurance transactions, holding company debt transactions, tax credit transactions, mergers and acquisitions (M&A), joint ventures, strategic investments and other complex corporate matters. The ideal candidate will have 5 to 10 years of relevant legal experience in corporate law, preferably with a mix of law firm and in-house experience.What you will be doingTransactional Support: Draft, review, and negotiate corporate agreements related to reinsurance, debt transactions, M&A, joint ventures, and other corporate transactionsSubsidiary Corporate Governance: Legally advise and administer subsidiary corporate governance relationship with majority-owned mortgage insurance subsidiaryExternal Counsel Management: Engage and manage outside counsel for specialized matters, ensuring cost-effective and high-quality serviceDue Diligence: Lead and coordinate various legal due diligence processesCross-Functional Collaboration: Work closely with finance, tax, and business leadership teams to ensure alignment on transaction structure and executionRegulatory Compliance: Ensure compliance with federal and state laws, securities regulations, and internal policiesWhat you bringJuris Doctor (JD) from an accredited law school; active license to practice law in at least one U.S. jurisdiction5–10 years of legal experience in corporate transactions, including M&A and related areasPrior experience at a reputable law firm and/or in-house legal department of a U.S. companyExcellent drafting and negotiation skillsExcellent judgment and ability to balance legal risk with business objectivesAbility to manage multiple projects in a fast-paced environmentExceptional oral and written communication and interpersonal skillsNice to haveReinsurance experienceExperience in insurance industryFamiliarity (through direct or indirect experience) with public company reporting requirements    Employee Benefits & Well-BeingGenworth employees make a difference in people’s lives every day.
