POSITION TITLEIn-House Legal Counsel, Corporate Transactions POSITION LOCATIONRichmond, Virginia YOUR ROLEWe are seeking an experienced In-House Legal Counsel to join our legal team and provide strategic and practical legal advice as well as project management on corporate transactions. This role will focus on supporting reinsurance transactions, holding company debt transactions, tax credit transactions, mergers and acquisitions (M&A), joint ventures, strategic investments and other complex corporate matters. The ideal candidate will have 5 to 10 years of relevant legal experience in corporate law, preferably with a mix of law firm and in-house experience.What you will be doingTransactional Support: Draft, review, and negotiate corporate agreements related to reinsurance, debt transactions, M&A, joint ventures, and other corporate transactionsSubsidiary Corporate Governance: Legally advise and administer subsidiary corporate governance relationship with majority-owned mortgage insurance subsidiaryExternal Counsel Management: Engage and manage outside counsel for specialized matters, ensuring cost-effective and high-quality serviceDue Diligence: Lead and coordinate various legal due diligence processesCross-Functional Collaboration: Work closely with finance, tax, and business leadership teams to ensure alignment on transaction structure and executionRegulatory Compliance: Ensure compliance with federal and state laws, securities regulations, and internal policiesWhat you bringJuris Doctor (JD) from an accredited law school; active license to practice law in at least one U.S. jurisdiction5–10 years of legal experience in corporate transactions, including M&A and related areasPrior experience at a reputable law firm and/or in-house legal department of a U.S. companyExcellent drafting and negotiation skillsExcellent judgment and ability to balance legal risk with business objectivesAbility to manage multiple projects in a fast-paced environmentExceptional oral and written communication and interpersonal skillsNice to haveReinsurance experienceExperience in insurance industryFamiliarity (through direct or indirect experience) with public company reporting requirements Employee Benefits & Well-BeingGenworth employees make a difference in people’s lives every day.
