Job Description:

A Real Estate Investment Firm is looking for a Paralegal to work closely with the General Counsel and senior leadership. This Paralegal will work cross-functionally with the Legal, Compliance, and Transaction Groups to support a variety of matters including coordinating and closing deals, corporate governance responsibilities, contract management, general legal assistance, and more.RESPONSIBILITIES:Maintain corporate records, including meeting minutes, corporate votes, operating agreements, Director consents, etc.Responsible for oversight of legal invoice processComplete legal closing checklists for all transactions (acquisition, sale, refinance, JV) and review closing binders to ensure completion.Prepare various documents andor packages including subpoenas, secretary certificates and other legal responses.Manage company-wide contract tracking process and records.Coordinate filing of annual reports for multiple entitiesmultiple states as well as other regulatory forms and filings with our agent.Support compliance function including, performing routine employment compliance checks at hire date and termination.Coordinate document preparation and execution for closings, attend pre-closing meetings and perform follow up as necessary, etc.Draft structure charts, form entities and request tax ID#'s.Provide risk management department with closing timeline and associated information to ensure coverage is active upon asset purchase or terminated upon sale.REQUIREMENTS:A bachelor's degree or paralegal certification, or significant work experience is required.At least five (5) years' experience in a corporate and real estate transaction environment.Ability to create, edit and scale existing historical documents to meet current needs.Must be proficient in the use of the Microsoft Office suite of products including, Word, Excel, Outlook, (including the calendaring function) and PowerPoint.Strong written and verbal communication skills.Superior problem solving and conflict resolution skills.Excellent time management, prioritization, and organizational skills, with the ability to perform with general direction.Able to work independently and manage a task or project from start to finish; strong project management experience.The ability to maintain confidentiality is critical, as is the ability to manage interactions among a variety of personalities.Able to establish strong working relationships with internal team members and external contacts.Ability to do thorough legal research when needed with an eye for identifying what is truly important dependent on the reason for the research.
