Job Description:

Position Summary: Responsible for reviewing, drafting, and researching a variety of commercial agreements, as well as assisting in the development of internal business teams, and providing legal advice. Job FunctionsDraft and negotiate various commercial agreements and other operational and vendor agreements.Advise on business transactions regarding outsourcing, insurance, vendor services, and other related contracts. Assess legal risks associated with business transactions, initiatives, and operations, and make timely recommendations to address those risks.Reviews contracts, leases, and other legal documents; researches legal issues and recommends revisions as necessary.Work closely and collaboratively with management, internal teams to identify and achieve desired business outcomes while minimizing legal risk.Assist in administration of corporate policies and procedures, such as vendor security, privacy compliance and contract approval.Handle litigation matters without supervision while actively report & taking feedback from senior management.Managing corporate governance and regulatory reporting matters.Managing all entity licensing, registration and reporting for the entities.Provide other legal counsel and support as needed.Knowledge, Skills, and AbilitiesA law degree from an accredited law school and admission to practice law in Texas.Minimum 10 years' experience, with top law firm or in-house legal department experience preferred.Experience drafting and negotiating corporate agreements, real-estate, asset management agreements, vendor contracts, intercompany agreements and insurance agreements.Demonstrate a naturally business-friendly approach to legal problem solving and effectively provide clear and concise practical advice.Experience with mergers and acquisitions and private equity venture capital are a plus. QUALIFICATIONS:J.D. from an American Bar Association accredited law schoolAt least 10 years of experience directly related to the duties and responsibilities specifiedTrial experience strongly preferredStrong legal research and writing skills.Excellent organizational skills and ability to prioritize duties and time are a must.Eye for detail, a creative mind and excellent communication, writing, and analytic skillsStrong communication, computer, and technological skills (proficiency in MS Office, i.e., Word, Excel, PowerPoint, & Outlook; and Lexis Nexis) and the ability to quickly leverage new software as required.Member in good standing of Texas State Bar. Compensation Package:Competitive base compensationPerformance BonusHealth benefits & 401K with employer match PTO Package
