Major, Lindsey & Africa is recruiting a Corporate Securities Paralegal for a DFW Based Financial Services Company. This is a direct hire opportunity. Overview: Our client is seeking an experienced Corporate Securities ParalegalCompany: Financial Services Company Experience: Successful candidates will have at 6+ years of relevant experience as a corporate paralegalLocation: Dallas Texas, Hybrid Work Arrangement - 2 days per week on site Salary: Negotiable - commensurate with experiencePosition Responsibilities:Assist attorneys in the preparation of SEC filings, such as proxy statements, Form 8-K, Form 10-K, Form 10-Q and Section 16 documentation (Forms 3, 4 and 5).Assist attorneys in debt and equity securities volvement in the annual meeting pile, analyze, draft, review, and otherwise manage information from various sources for purposes of assisting attorneys in disclosure-related issues, e.g., stock ownership data and director and officer questionnaires.Assist attorneys in the preparation of corporate governance documents (policies, charters, etc.).Research, analyze and document complex legal and business issues at attorney request and direction.Assist attorneys in the corporate secretary function, including the preparation of minutes, resolutions and other materials for boards of directors.Other duties and tasks as assigned.Position Qualifications:Experience assisting attorneys in preparing SEC filings at a public company, including Section 16 filings and proxy statementsExperience researching legal and other issues (manualbook and technicalcomputer)Experience preparing board minutes and resolutions for attorney reviewWord-processing, spreadsheet and related experienceAll interested and qualified candidates should apply directly with Major, Lindsey & Africa for review and consideration.
